Governing Law

Arrowsight’s chief executive office is located in New York. To the extent not governed by U.S. Federal Law, the parties each hereby acknowledge and agree that this Notice is governed by and to be construed in accordance with the laws of the Sate of New York. The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded. The parties further agree that all disputes arising hereunder will be heard exclusively by a court of competent jurisdiction in the City and State of New York. You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to this Agreement must be filed within one (1) year after such claim or cause of action arises or will be forever barred.

Waiver/Severability

The waiver by either party of a breach or right under this Notice will not constitute a waiver of any subsequent breach or right. If any provision of this Notice is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of this Notice, which will otherwise remain in full force and effect.
